of Board of Directors Positions

of Directors
Subsection 2: Duties and Responsibilities
of Individual Members
a.
Corporate President
i.
The President shall have the authority to act on behalf of
the Corporation subject to the approval of the assembled Board
of Directors at the next meeting.
ii.
The President shall preside over all meetings of the
Grievance Committee.
iii.
The President of the Corporation may remove any member
from the Board of Directors for a maximum of two (2) weeks pending
a Grievance Committee meeting to consider the complaints. If
another Grievance Committee is pending or comes about, the removed
member may still sit on the Grievance Committee. In any such
case, the Vice-President of the Corporation shall assume the
duties of the individual in question in addition to his or her
own.
iv.
The President is responsible for keeping an accurate list
of Officers and Directors of S.A.V.A.C. in the offices of the
Student Association of the State University of New York College at
Oswego, the Student Association Supreme Court, and the Office of
the Vice-Chairperson of the University. This list shall be made
available to other persons who request it.
v.
The Chairperson shall, in conjunction with the Corporate
Treasurer, be responsible for the signing of all checks and
corporate instruments.
b.
Corporate Vice-President
i.
The Vice-President is responsible for working with the
President on his or her assigned tasks.
ii.
In the event the office of President becomes vacant, the
Vice-President shall assume the duties of the President until
such time that another election can be held in accordance with
the guidelines set up in the Constitution if the Corporation,
Article IV, Sections V and VI.
iii. In the event the
President cannot fulfill one or more
of his or her duties, the Vice-President shall assume those duties
under the direction of the President.
iv.
The Vice-President is responsible for checking the
legality of all proposed Amendments
to the Bylaws and Constitution with a lawyer.
c.
Corporate Treasurer
i.
The Corporate Treasurer shall be responsible for opening
and maintaining all financial accounts as deemed necessary by
the Board of Directors.
ii.
The Corporate Treasurer shall present a financial statement
of the income and expenditures of the Corporation at all
meetings of the Board of Directors and at all general Corps
meetings.
iii.
The Corporate Treasurer shall appropriate all emergency
funds deemed necessary by the Board of Directors.
iv.
The Corporate Treasurer shall, in conjunction with the
President, be responsible for the signing of all checks and
corporate instruments.
d.
Corporate Secretary
i.
The Corporate Secretary shall be responsible for taking and
publishing all minutes of the Board and Grievance Committee
meetings. All minutes shall be made available within one week of
the meeting under normal circumstances. Emergency situations
shall be considered by the President.
ii.
The Secretary shall be responsible for, in conjunction with
the Administrative Captain, and at the discretion of the Chief of
Operations, the taking and publishing of all minutes of meetings
of the general Corps.
e.
Public Relations Officers
i.
The Public Relations Officers shall be responsible for the
public image of the Corps, and in conjunction with the Chief of
Operations and the Chairperson, all public relations outside of
the organization.
ii.
Public Relations Officers shall be responsible for, in
conjunction with those other Officers, Directors, and members
deemed appropriate, for open houses and S.A.V.A.C. membership
drives.
iii.
Public Relations Officers shall be the point of contact
within the Corps for outside organizations wishing to conduct
relations with S.A.V.A.C. for all but operational circumstances,
for which the Chief of Operations shall be responsible.
iv.
Public Relations Officers shall be responsible for the
public face of the Corps, to include such items as advertisements
and flyers posted in academic buildings and dormitories, and any
campus display cases for which the Corps has responsibility.
f.
Members at Large
i.
Members at Large shall, to the best of their abilities,
represent the feelings of the general Corps members to the Board
of Directors.
ii.
Members at Large shall divide all Board business not the
responsibility of other Board members between them.
iii. Members at Large shall be responsible for such other
duties and responsibilities as assigned by the President of the
Corporation.
